Brickwise AI Landlord Maintenance Service Agreement (UK & US)

Change log (for internal review): This version removes (a) any Annual Gas Safety Check references, (b) all boiler coverage and any BER/replacement language, (c) any promise to send renewal notices, and (d) property-to-property transferability; it also uses $ for all prices/fees. UK and US drafts retain the original structure/sections except where surgically altered to implement these changes. The US draft now includes a conspicuous Regulatory Status & Availability clause (state-dependent approval; no service until approved).


United Kingdom (UK) — Service & Support Agreement

Section 1: Our Service and Support Plans

i. Agreement
This agreement sets out the entire agreement between:
• you, the person whose details are set out above (you, your); and
• us, Brickwise AI (we, us, our), for our Service & Support Care Plans. These include:
• Unlimited access to our 24/7 support centre; and
• Access to our network of approved qualified engineers to help optimise and ensure that the systems included in the plan you have chosen for your needs as set out above (plan) continue to work correctly.

Important: This contract forms a maintenance service agreement between you and Brickwise AI. Any repairs and replacements detailed in this agreement which are provided outside covered works may be subject to a separate charge and are provided at our absolute sole discretion. This is not an insurance policy.

ii. What's included in our plans
Support for the systems below (unlimited callouts, no call-out charges, no per-repair value cap — parts and labour included):

  • Central Heating System (distribution only) — pumps, motorised valves, radiators, radiator valves, pipework and parts/fittings associated with the hot water feed and expansion tank. For clarity: the boiler/heat source itself and its controls are excluded under this Agreement.
  • Hot & Cold Water Pipes (internal) — leaks/faults on the hot and cold-water pipes inside your property between the internal stopcock and your taps or appliances.
  • Home Electrics (fixed wiring) — mains wiring & electrics (consumer unit/fuse boards, circuit breakers, standard light fittings, switches and sockets) inside your property that connect to the main supply.
  • Taps, Toilets & Drains — repairs to dripping taps; leaking toilets, syphons, valves and ballcocks; assistance with blocked or leaking standard domestic internal or external drains within your boundary that you are responsible for.
  • Pest Control — treatment of pest infestations of rats, mice, wasps and hornets' nests.
  • Security & Locks (emergency) — emergency securing/repairs to external doors, windows and locks (gaining access where locked out without a spare key, replacing failed external locks, window boarding).

Explicitly not included anywhere in this Agreement: Any boiler, water heater, furnace, heat pump, flue, burner, heat exchanger, or smart/internet thermostat; no boiler cover and no boiler replacement are provided.

(Sections titled "Annual Boiler Service" and "Landlord Gas Safety Inspection" are intentionally removed.)


Section 2: Price, Payments & Fixed Fees

i. Price and Monthly Payments
The annual price you pay for the plan is set out above (annual price). The amount you pay each month is paid by Direct Debit or card (monthly payments). All prices/fees in this agreement are denominated in $ (plus applicable taxes at the current rate). If you default on any payment we may:
• charge you interest at the rate of 0.5% over the Bank of England base rate;
• charge you an administration fee of $25 for each default; and
• to the extent we incur additional reasonable costs which are not covered by the $25 administration fee, charge you those reasonable additional costs.
The fixed price term means your price won't increase during this period of time as a result of the number of repairs that you request us to arrange; however, we may increase the annual price and/or monthly payment during your fixed price term if required by law (e.g., tax changes). We may also revise pricing/economics for any renewal term.

ii. Fixed Fees
The fixed fee per call-out is $0 (no call-out charge). This is in addition to the annual price (which covers parts and labour for covered repairs). If you call us back for the same fault within 30 days, no additional charges apply.

For the avoidance of doubt, any prior language about increasing a fixed fee after a certain number of call-outs does not apply; call-outs are unlimited under this Agreement.


Section 3: Contract Term, Renewal & Cancellations

i. Contract Term
Your contract term is 12 months (1 year) and starts on the start date set out above (start date) and continues until it is terminated in accordance with this agreement.

ii. Cancellation
You may cancel effective at the end of a contract term by giving us notice (by telephone or in writing) in the last 28 days of that year. There is no statutory 14‑day cooling‑off period under this B2B Agreement.
If you end your agreement mid-term after we have carried out work or supplied goods, no refund is due for the remaining term; where applicable, you must pay for work we have done and any goods supplied. We may end your agreement at any time if:
• You give us false or incorrect information;
• You fail to pay for your plan;
• You use threatening or abusive behaviour or language; or
• Your systems are deemed by us to be unsuitable or unsafe for our support plans.
If we end the agreement for the above reasons you may be required to pay a termination fee as set out below. If we end for convenience, we will pro‑rate any prepaid, unused portion of your annual price.

iii. Renewals
Your agreement renews automatically each year unless you cancel during the last 28 days prior to the renewal date. (We do not undertake to send a renewal notice.)

iv. Moving Home
This Agreement is property‑specific and non‑transferable. If you move home, this Agreement does not move with you and will end at the conclusion of the current term (or earlier if terminated per this Section).

Termination Fee Scale (where applicable):
• All completed central heating distribution repairs (excluding any boiler/heat source): $190 each
• Any other completed covered repairs: $99 each


Section 4: Terms & Exclusions

i. General Terms
• This is a service agreement providing 24/7 telephone support and access to our network of approved engineers. It is not a contract of insurance nor regulated by the Financial Conduct Authority.
• Any benefit under this service agreement related to the occurrence of an uncertain event is provided at our discretion under contract.
• The law of England and Wales applies to this agreement and how it is interpreted.
• We will use your personal data in accordance with our privacy policy (see our website).
• We will carry out our obligations within a reasonable time unless prevented by circumstances beyond our reasonable control.
• Nobody other than you can benefit from this agreement.
• All repair work is guaranteed for 30 days from the date of repair completion.
• We may at any time transfer any or all our rights or responsibilities under this agreement to any other organisation; we may also subcontract. None of this affects your rights.
• We may make changes to these terms and conditions; if changes are not in your favour and apply mid‑term, you may end this agreement without cancellation fees.
• All parts/materials supplied shall be standard parts commonly used in the industry from reputable suppliers. We are not responsible for the cost of a "like‑for‑like" replacement to the extent that cost exceeds an equivalent standard part.

ii. General Exclusions
In addition to the specific exclusions elsewhere, we will not assist or provide support with any:
Boilers, water heaters, furnaces, heat pumps, flues, burners, heat exchangers, or smart/internet thermostats (and any replacements thereof).
• Faults that existed before you entered into this agreement or within the first 14 days after entering (initial waiting period).
• Systems/appliances not installed, maintained and used in accordance with manufacturer's instructions and/or current regulations/best practice.
• Replacing heat exchangers or repairing faults caused by limescale, sludge, or other debris; system flushes/water‑treatment works.
• User tasks (e.g., re‑pressurising your system, bleeding radiators), battery/bulb/fuse replacement.
• Trace and access (work required to locate the fault).
• Upgrades or improvements to your system; code‑compliance upgrades.
• Problems relating to steel, lead or iron pipes beyond temporary stop‑leak.
• Damage we have caused in order to carry out any repair you requested (we will make good safety, not decoration).
• Damage linked to supply of your gas, water or electricity; external outages.
• Showers and shower pumps.
• Faults/damage caused by a third party; cosmetic/non‑functional issues.
• Intermittent faults not identifiable at attendance.
• Non‑domestic or commercial‑grade systems/pipework (≥35mm).
• Health & safety risks at attendance; unsanitary/unsafe access conditions.
• Maintenance required to keep systems in good order (routine servicing).
• Consumables (external fuses, batteries, seals/gaskets, fuel).
• Faults not reported within 24 hours of awareness.
• Seals/grouting around sanitary ware.
• Frozen pipes or faults caused by freezing.
• Damage covered by any insurance policy; parts under manufacturer's warranty.
• Faults arising while the property is unoccupied for >30 consecutive days.

iii. System‑Specific Terms (selected)
Central Heating System (distribution only) — We can help with: breakdown of standard parts of the associated heating and hot water distribution system including pumps, motorised valves, radiator valves, pipework and parts/fittings associated with the hot water feed and expansion tank. We cannot help with: the boiler/heat source itself or its controls; underfloor heating; solar thermal; immersion heaters; unvented cylinders; water softeners; limescale/sludge damage.

Home Electrics — We can help with: mains wiring, consumer unit/fuse board, circuit breakers, standard light fittings, switches and sockets. We cannot help with: low‑voltage systems (doorbells, alarms, CCTV); renewable/generation equipment; EV chargers; portable appliances; garden/outbuilding electrics not on the main consumer unit.

Plumbing (Taps, Toilets, Drains) — We can help with: dripping taps, leaking toilets, syphons, valves and ballcocks, blocked/leaking internal or external drains within your boundary. We cannot help with: showers/shower pumps; macerators; water softeners; outdoor taps; shared/communal drains beyond your boundary.

Pest Control — We can help with: treatment of rats, mice, wasps and hornets' nests. We cannot help with: other pests (e.g., bed bugs, cockroaches, foxes, pigeons); prevention/proofing works; repeat infestations caused by structural defects you have not remedied.

Security & Locks — We can help with: emergency securing/repairs to external doors, windows and locks; gaining access where locked out; replacing failed external locks; window boarding. We cannot help with: internal doors/locks; safes; electronic/smart locks; decorative restoration after emergency works.


Section 5: Liability & Complaints

i. Liability
Our liability under this agreement is limited to the cost of re‑performing the service or, at our option, refunding a proportionate part of your annual price. We are not liable for any indirect, consequential or economic loss. Nothing in this agreement excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

ii. Complaints
If you are unhappy with our service, please contact us at support@brickwiseai.com. We will acknowledge your complaint within 5 working days and aim to resolve it within 20 working days. If we cannot resolve your complaint to your satisfaction, you may refer it to an alternative dispute resolution provider.

This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.


United States (US) — Service & Support Agreement

Regulatory Status & Availability

IMPORTANT NOTICE: Brickwise AI's maintenance service plans may be subject to state‑level licensing, registration or regulatory approval. We do not offer or provide services in any US state until we have obtained all required approvals for that state. By signing up, you acknowledge that:

  1. Service availability is subject to regulatory clearance in your state.
  2. We will notify you if/when service becomes available in your state.
  3. No services will be rendered, and no charges will be processed, until service is approved and activated for your location.

Section 1: Our Service and Support Plans

i. Agreement
This agreement sets out the entire agreement between:
• you, the person whose details are set out above (you, your); and
• us, Brickwise AI (we, us, our), for our Service & Support Care Plans. These include:
• Unlimited access to our 24/7 support centre; and
• Access to our network of approved qualified technicians to help optimise and ensure that the systems included in the plan you have chosen (plan) continue to work correctly.

Important: This contract forms a maintenance service agreement between you and Brickwise AI. Any repairs and replacements detailed in this agreement which are provided outside covered works may be subject to a separate charge and are provided at our absolute sole discretion. This is not an insurance policy.

ii. What's included in our plans
Support for the systems below (unlimited service calls, no call-out charges, no per-repair value cap — parts and labour included):

  • HVAC Distribution (ductwork, vents, registers, thermostats excluding smart/internet thermostats)For clarity: the furnace, heat pump, A/C condenser/compressor, and boiler/heat source itself are excluded under this Agreement.
  • Hot & Cold Water Pipes (internal) — leaks/faults on the hot and cold-water pipes inside your property between the main shut‑off valve and your fixtures or appliances.
  • Home Electrics (fixed wiring) — mains wiring & electrics (breaker panels, circuit breakers, standard light fixtures, switches and outlets) inside your property that connect to the main supply.
  • Faucets, Toilets & Drains — repairs to dripping faucets; leaking toilets, flappers, valves and fill valves; assistance with clogged or leaking standard domestic internal or external drains within your property line that you are responsible for.
  • Pest Control — treatment of pest infestations of rats, mice, wasps and hornets' nests.
  • Security & Locks (emergency) — emergency securing/repairs to external doors, windows and locks (lockout assistance, replacing failed external locks, window boarding).

Explicitly not included anywhere in this Agreement: Any furnace, boiler, water heater, heat pump, A/C condenser/compressor, flue, burner, heat exchanger, or smart/internet thermostat; no HVAC equipment cover and no equipment replacement are provided.


Section 2: Price, Payments & Fixed Fees

i. Price and Monthly Payments
The annual price you pay for the plan is set out above (annual price). The amount you pay each month is paid by credit/debit card or ACH (monthly payments). All prices/fees in this agreement are denominated in $ (plus applicable taxes). If you default on any payment we may:
• charge you interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower);
• charge you an administration fee of $25 for each default; and
• charge you reasonable collection costs.
The fixed price term means your price won't increase during this period as a result of the number of repairs you request; however, we may increase the annual price and/or monthly payment during your fixed price term if required by law (e.g., tax changes). We may also revise pricing for any renewal term.

ii. Fixed Fees
The fixed fee per service call is $0 (no call-out charge). If you call us back for the same issue within 30 days, no additional charges apply.

• All repair work is guaranteed for 30 days from completion.
• We may transfer any or all our rights or responsibilities under this agreement to another organisation; we may also subcontract.
• We may make changes to these terms; if changes are not in your favour mid‑term, you may end this agreement without termination fees.

ii. General Exclusions
We will not assist or provide support with any:
Furnaces, boilers, water heaters, heat pumps, A/C condensers/compressors, flues, burners, heat exchangers, or smart/internet thermostats (and any replacements thereof).
• Pre‑existing faults or faults arising within the first 14 days (initial waiting period).
• Systems not installed, maintained and used per manufacturer's instructions and applicable codes.
• Limescale, sludge, or debris damage; system flushes.
• User tasks (e.g., replacing batteries, bulbs, fuses, bleeding radiators).
• Trace and access work.
• Upgrades or code‑compliance improvements.
• Steel, lead or iron pipe issues beyond temporary stop‑leak.
• Damage caused by our access to perform repairs (we will restore safety, not decoration).
• Utility supply issues or external outages.
• Showers and shower pumps.
• Third‑party damage; cosmetic/non‑functional issues.
• Intermittent faults not identifiable at attendance.
• Commercial‑grade systems.
• Health & safety risks; unsanitary/unsafe access.
• Routine maintenance/servicing.
• Consumables.
• Faults not reported within 24 hours.
• Seals/caulking around fixtures.
• Frozen pipes or freeze damage.
• Damage covered by insurance or manufacturer's warranty.
• Faults arising while property is unoccupied >30 consecutive days.


Section 5: Liability, Disputes & Governing Law

i. Liability
Our liability is limited to re‑performing the service or refunding a proportionate part of your annual price. We are not liable for indirect, consequential or economic loss. Nothing excludes liability for death or personal injury caused by our negligence or for fraud.

ii. Disputes
If you are unhappy with our service, contact us at support@brickwiseai.com. We will acknowledge your complaint within 5 business days and aim to resolve it within 20 business days. Unresolved disputes may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, unless prohibited by law in your state.

iii. Governing Law
This Agreement is governed by the laws of the state in which the covered property is located.
